Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the voice AI agency services, website, SMS messaging program and voice automation provided by VOICELI LLC (“voiceli.ai”, “we”, “us”, “our”).

By using our Service, subscribing to our SMS program, or interacting with our AI voice agents, you agree to these Terms. If you do not agree, do not use the Service.

01Scope and definitions

• “Service” means our AI-powered voice agent development, SMS messaging, call automation and related agency services.
• “SMS Program” means any text message communications sent from us or on our behalf.
• “Voice Agent” means an AI-powered automated voice system that may call you or answer calls.
• “Customer” means a business that contracts with us.
• “End User” means an individual who receives SMS or voice communications from our Customers’ AI agents.

02Eligibility and business purpose

Our Service is intended for business use (B2B). By using the Service, you represent that you are at least 18 years old and have authority to bind your company.

03Consent to receive SMS and voice communications

A. Express written consent

By providing your mobile phone number and checking the consent box (or replying “START” to an SMS invitation), you give express written consent to receive:

• Transactional SMS (account updates, appointment reminders).
• Promotional SMS (offers, AI voice demos, news).
• Automated voice calls or AI-generated voice messages.

Message frequency varies. Message and data rates may apply.

B. Required disclosures (TCPA compliance)

• Help: reply HELP to any SMS for support contact information.
• Stop: reply STOP to any SMS to unsubscribe. You will receive a confirmation.

C. No consent required for purchase

You are not required to consent to marketing SMS or voice calls as a condition of purchasing any goods or services from us.

D. Recording consent

Where required by law (for example, two-party consent states), we will announce that calls may be recorded at the beginning of the conversation. By continuing the call, you consent to recording. You may hang up at any time.

04Account registration

• You must provide accurate registration information.
• You are responsible for all activity under your account.
• Notify us immediately of unauthorised access.

05Services and subscriptions

• Subscriptions are billed monthly or annually as selected on our pricing page.
• Usage limits (SMS segments, call minutes, API requests) are defined in your plan.
• Excess usage will incur additional fees as notified.

06Prohibited uses

You agree NOT to use the Service for:

• Illegal, fraudulent or abusive purposes (e.g. scams, phishing, harassment).
• Sending SMS or voice messages without proper prior consent.
• Violating the TCPA (US), the CAN-SPAM Act, or any telemarketing laws.
• Reverse engineering our AI models or circumventing security measures.

Violation may result in immediate suspension or termination.

07Customer obligations (for business customers)

If you are a business customer using voiceli.ai to contact End Users, you warrant that:

• You have obtained express written consent from each End User before sending SMS or voice communications.
• You maintain a record of that consent as required by law.
• You honour opt-out requests immediately.
• You indemnify voiceli.ai for any violations of telemarketing laws caused by your use.

08Fees and payment

• Fees are as specified in your subscription plan or SOW.
• Payments are due in advance.
• Late payments may accrue interest at 1.5% per month.
• We may suspend Service for non-payment after 7 days’ notice.

09Intellectual property

• Our IP: all AI models, software and algorithms are owned by voiceli.ai.
• Your IP: you retain ownership of your content (prompts, training data). You grant us a licence to process it solely to provide the Service.
• Feedback: any suggestions you provide may be used by us without compensation.

10Third-party services

We use third-party providers including OpenAI, ElevenLabs, Google Cloud and Twilio. Your use of the Service may be subject to their respective terms. We are not liable for their acts or omissions.

11Disclaimer of warranties

EXCEPT AS EXPRESSLY PROVIDED, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE SERVICE.

12Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES. EACH PARTY’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US DURING THE 12 MONTHS PRIOR TO THE CLAIM.

This limitation applies even if a remedy fails its essential purpose.

13Indemnification

You agree to indemnify voiceli.ai from any claims, damages or expenses arising from:

• Your violation of these Terms.
• Your failure to obtain proper consent for SMS or voice communications.
• Your violation of the TCPA, the CAN-SPAM Act, or any similar law.

14Term and termination

• Either party may terminate for material breach after 30 days’ notice if uncured.
• We may terminate immediately if you violate consent or telemarketing laws.
• Upon termination, we will delete your data within 30 days.

15Governing law and dispute resolution

• These Terms are governed by the laws of Florida, USA.
• Any dispute shall be resolved through binding arbitration in Miami, FL, in accordance with the rules of the American Arbitration Association (AAA).
• Class actions are waived.

16Changes to these Terms

We may revise these Terms. Material changes (including changes to consent requirements) will be notified via SMS or email at least 30 days in advance.
